Qualifying Events

  • Natural disasters, earthquakes, floods, or hurricanes
  • Epidemics, pandemics, or public health emergencies
  • War, terrorism, or civil unrest
  • Government actions, sanctions, or embargoes
  • Power outages or telecommunications failures
  • Cyberattacks or widespread internet disruptions

Obligations During Force Majeure

  • Promptly notify the other party in writing
  • Provide estimated duration and impact assessment
  • Use commercially reasonable efforts to mitigate effects
  • Resume performance as soon as reasonably possible

Right to Terminate After90 days

Payment obligations and confidentiality provisions remain in effect during any force majeure period.
